The Incorporation Process
i) receipt and review of yourincorporation information
ii) conducting a NUANS prescreen search (if a named corporation is required)
iii) providing a NUANS Report, including a 90-day reservation of the name
iv) preparation of the Articles of Incorporation and electronic submission of the Articles of Incorporation to the government
v) email to you the NUANS Report, approved Articles of Incorporation and the Certificate of incorporation
vi) preparation of the initial Directors and Shareholders' Resolutions, covering the election of directors and officers and fixing the number of directors
vii) preparation of By-law # 1 which sets out the organization of the corporation, including the powers and election of directors and officers, filling vacancies, holding meetings of shareholders and directors, required notice periods, setting the fiscal year end and the execution of documents
viii) preparation of By-law # 2 which sets out the borrowing powers of the corporation
ix) preparation of the Register of Directors, the Register of Shareholders, the Register of Officers, shareholder ledgers for each shareholder and the Stock Transfer Register
x) issuance of share certificates per your instructions and supplying other pre-printed blank share certificates
xi) filing initial return with provincial government
